1. Introduction

Welcome to Lehtosarvi Labs (SaaS MAASAMPO). These Terms and Conditions (”Terms”) govern your use of our website, software, IoT devices, and digital tokenization platform (collectively, the ”Maasampo”). By accessing or using our Platform or website, you agree to be bound by these Terms. These Terms and Conditions unconditionally extend and apply to all related applications, internet services, or website extensions. If you do not agree with all of these Terms and Conditions, you are prohibited from using this Website and may discontinue use immediately. Lehtosarvi Labs recommends that you save or print a copy of these Terms and Conditions for future reference.

2. Services Provided

The Platform provides digital twin modeling for manure management, nutrient analysis via IoT sensors, and blockchain-based tokenization services. We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

3. Agreement to Terms and Conditions

These Terms and Conditions (hereinafter referred to as ”Terms”) constitute a legally binding agreement between you (the ”User”) and Lehtosarvi Labs (including its platform MAASAMPO, collectively referred to as the ”Service”, ”Platform”, or ”We”). These Terms govern your access to and use of the website located at http://www.lehtosarvi.io, as well as any associated software, IoT-sensor data, and blockchain-based services (collectively, the ”Content”).

By accessing the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms in their entirety. If you do not agree with any part of these Terms and Conditions, you must cease all use of the Platform and its services immediately.

4. Definitions/Terminology

The following terminology applies to these Terms and Conditions, our Privacy Statement, and any related Agreements:

  • ”User,” ”Client,” ”You,” and ”Your” refers to any individual, farm entity, or organization accessing this Platform or using our IoT/blockchain services.
  • ”Lehtosarvi Labs,” ”MAASAMPO,” ”The Company,” ”We,” ”Our,” and ”Us” refers to our organization and its digital infrastructure.
  • ”Party” or ”Parties” refers to both the User and Lehtosarvi Labs collectively.
  • ”Content” encompasses all materials, sensor data, Edge-AI outputs, digital tokens (NFTs), documents, and proprietary software provided through the Platform.

All terms used herein relate to the necessary actions and considerations required to provide support and services to the User, specifically aimed at fulfilling the User’s needs regarding nutrient management and tokenization. These services are governed by and subject to the prevailing laws of Finland. Any use of the above terminology or other words in the singular, plural, capitalization, and/or he/she or they, are taken as interchangeable and therefore as referring to the same.

5. Provision of Services and Jurisdictional Restrictions

The digital solutions, IoT-integrated services, and blockchain-based assets (collectively, the ”Services”) provided through this Platform are not intended for access or distribution in any jurisdiction, region, or country where such availability would violate local legal frameworks or regulatory mandates.

By using our Services, you acknowledge that Lehtosarvi Labs shall not be held liable for any registration requirements, legal claims, financial demands, or unforeseen expenses arising from the use of the Platform in territories where the deployment of such technology—specifically relating to environmental data and decentralized ledger systems—is restricted or subject to local authorization.

Users accessing the Platform from locations outside of Finland do so at their own initiative and are solely responsible for ensuring compliance with all applicable local, national, and international laws and regulations.

6. Intellectual Property Rights (IPR)

Unless otherwise explicitly stated, Lehtosarvi Labs and/or its licensors own all intellectual property rights for the technology and materials provided on this Platform. This includes, but is not limited to:

  • Algorithms and AI: All proprietary Edge-AI models, calibration logic (including the ”Master & Apprentice” protocols), and data processing algorithms used to analyze nutrient levels and carbon sequestration.
  • Hardware Design: The technical specifications, architectural designs, and integrated firmware of the MAASAMPO IoT sensor units.
  • Software and Blockchain Architecture: The source code, smart contract logic, and the unique ”Lanta-token” standardization framework.
  • Branding: All trademarks, logos, and visual identities associated with MAASAMPO and Lehtosarvi Labs.

All intellectual property rights are reserved. You are granted a limited, non-exclusive, and non-transferable license to access and use the Platform for your internal agricultural or business operations, subject to the restrictions set forth in these Terms.

You are strictly prohibited from:

  1. Reverse Engineering: Attempting to extract, decompile, or replicate the proprietary Edge-AI models or firmware of the IoT units.
  2. Commercial Exploitation: Selling, sub-licensing, or redistributing our proprietary software or analytical frameworks without prior written consent.
  3. Data Mining: Using automated systems or software to extract data from the Platform for use in competing analytics services.

7. Data Sovereignty and Ownership

At Lehtosarvi Labs, we uphold the principle of Data Sovereignty. We believe that the primary producer is the rightful steward of the data generated by their operations. This section outlines how we balance your ownership with the technical requirements of the Platform.

1. Ownership of Raw Operational Data You retain full ownership of all raw data generated by your farm operations through the MAASAMPO IoT sensors (including, but not limited to, raw nutrient readings, flow rates, and specific fertilization coordinates). Lehtosarvi Labs does not claim ownership over your individual farm’s raw input.

2. Right to Access and Portability You have the right to access your operational data at any time through the Platform. You may export or transfer your data to third-party management systems, provided such systems are compatible with our API standards.

3. License for System Optimization and Calibration By using the Platform, you grant Lehtosarvi Labs a non-exclusive, royalty-free, and perpetual license to use your data in an anonymized and aggregated format. This license is strictly limited to:

  • The ”Master & Apprentice” Calibration: Training and refining our Edge-AI models to improve sensor accuracy for the benefit of the entire user community.
  • Standardization: Developing industry benchmarks for nutrient efficiency and carbon sequestration.
  • System Integrity: Ensuring the security and functionality of the blockchain ledger.

4. Tokenization and Public Metadata When you choose to ”tokenized” an asset (e.g., creating a Carbon Credit or a Nutrient Token), certain metadata (such as nutrient totals and verification timestamps) will be recorded on the blockchain. Due to the decentralized nature of the ledger, this specific subset of data becomes a permanent record to ensure the validity and marketability of the token.

5. Privacy by Design We commit to ”Privacy by Design.” Any data used for research or system improvement will be stripped of personally identifiable information (PII) to ensure that your specific farm’s strategic operations remain confidential.

8. User Accounts

  • Registration: To use certain features, you must register for an account. You agree to provide accurate and complete information.
  • Security: You are responsible for maintaining the confidentiality of your credentials.
  • Eligibility: By using the Platform, you represent that you have the legal capacity to enter into a binding agreement.

9. Tokenization and Blockchain Transactions

  • Digital Assets: Any tokens (NFTs) generated on the Platform represent digital twins of physical assets. These tokens are recorded on a decentralized ledger.
  • No Financial Advice: The Platform does not provide financial or investment advice. The value of carbon credits or nutrient tokens may fluctuate based on market conditions.
  • Finality: Due to the nature of blockchain technology, transactions are generally irreversible once confirmed on the ledger.

10. Limitation of Liability

To the maximum extent permitted by law, Lehtosarvi Labs shall not be liable for any indirect, incidental, or consequential damages arising from:

  • Inaccuracies in sensor data due to improper hardware maintenance.
  • Fluctuations in the market price of carbon or nutrient credits.
  • Loss of data or access due to unauthorized third-party actions.

11. Hardware and Maintenance (IoT)

Users are responsible for the physical installation and maintenance of the IoT devices. Lehtosarvi Labs provides limited warranties as specified in the Hardware Warranty Agreement.

12. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy, which details how we comply with the GDPR (General Data Protection Regulation).

13. Termination

We reserve the right to terminate or suspend your access to the Platform immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users or our business interests.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of Finland. Any disputes shall be settled in the Päijät-Hämeen käräjäoikeus in Lahti.
